Terms of Service

1. Agreement to Terms
By creating an account or using METRUKS ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
The Service is operated by [METRUKS LLC] ("we," "us," or "our"). These Terms constitute a legally binding agreement between you and [METRUKS LLC].
2. Description of Service
METRUKS is a bookkeeping and business management application designed for trucking owner-operators. The Service allows you to:
- Track loads, expenses, mileage, and equipment maintenance
- Manage clients and generate invoices
- Generate reports and export data
- Store and organize business documents
The Service is available on iOS, Android, and web platforms.
3. Account Registration
To use the Service, you must create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your login credentials secure and confidential
- Accept responsibility for all activity under your account
- Notify us immediately of any unauthorized use of your account
You must be at least 18 years old to create an account.
4. Free Trial
New accounts receive a free trial period of 14 days. During the trial:
- You have access to all features of the Service
- No payment information is required
- Your trial begins when you create your account
At the end of the trial period, you must subscribe to a paid plan to continue using the Service. If you do not subscribe, your account will enter a grace period as described in Section 6.
5. Subscription and Payment
After your free trial, continued use of the Service requires a paid subscription.
Billing
- Subscriptions are billed in advance on a monthly or annual basis
- Payment is processed through our third-party payment providers (Apple App Store, Google Play Store, or web payment processor)
- You authorize us to charge your selected payment method for all fees due
Price Changes
We may change subscription prices with at least 30 days advance notice. Price changes will take effect at the start of your next billing cycle after the notice period. Continued use of the Service after a price change constitutes acceptance of the new price.
Refunds
Subscription fees are non-refundable. When you cancel your subscription, you will retain access to the Service until the end of your current billing period. No partial refunds are provided for unused time.
For subscriptions purchased through the Apple App Store or Google Play Store, refund requests must be directed to Apple or Google respectively, and are subject to their refund policies.
6. Cancellation and Account Termination
Cancellation by You
You may cancel your subscription at any time. Upon cancellation:
- You will retain full access to the Service until the end of your current billing period
- After your billing period ends, your account enters a grace period where you can view and export your data but cannot create or edit records
- You may resubscribe at any time to restore full access
Data Retention
If you do not resubscribe within 180 days after your subscription ends, we may permanently delete your account and all associated data. We will send reminder emails before deletion occurs. You may request earlier deletion of your data by contacting us.
Termination by Us
We reserve the right to suspend or terminate your account if you:
- Violate these Terms
- Engage in fraudulent or illegal activity
- Abuse or harass our staff or other users
- Attempt to circumvent security measures or access restrictions
7. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose or in violation of any laws
- Attempt to gain unauthorized access to the Service or its systems
- Interfere with or disrupt the Service or servers
- Upload viruses, malware, or other malicious code
- Use automated systems (bots, scrapers) to access the Service without permission
- Reverse engineer, decompile, or disassemble any part of the Service
- Resell, sublicense, or commercially exploit the Service without authorization
- Impersonate any person or entity
- Use the Service while operating a motor vehicle or any other moving vehicle
Driver Safety
METRUKS is designed to be used before you get behind the wheel or when safely stopped — never while driving. By using the Service, you agree that you will not access or interact with METRUKS while operating a vehicle. You take full responsibility for your safety and the safety of others on the road. We expressly disclaim any liability for accidents, injuries, or damages arising from use of the Service while driving.
8. Your Data
Ownership
You retain full ownership of all data you enter into the Service ("Your Data"). We do not claim any ownership rights over Your Data.
License to Us
You grant us a limited license to use, store, and process Your Data solely to provide the Service to you. This license ends when you delete Your Data or your account is terminated.
Data Export
You may export Your Data at any time using the export features within the Service. We recommend exporting Your Data before canceling your subscription.
Data Security
We implement industry-standard security measures to protect Your Data. However, no method of transmission or storage is 100% secure. You are responsible for maintaining the confidentiality of your account credentials.
9. Intellectual Property
The Service, including its design, features, code, documentation, and branding, is owned by [METRUKS LLC] and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our written permission.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not warrant that any defects will be corrected or that the Service will meet your specific requirements.
No Guarantee of Accuracy
WE DO NOT GUARANTEE THE ACCURACY OF ANY CALCULATIONS, REPORTS, OR DATA GENERATED BY THE SERVICE. This includes but is not limited to: mileage calculations, expense totals, IFTA reports, profit calculations, invoice amounts, and any other computed values. You are solely responsible for verifying the accuracy of all calculations and reports before relying on them for tax filings, business decisions, or any other purpose. Errors may occur due to software bugs, incorrect data entry, or other factors.
METRUKS IS A BOOKKEEPING TOOL, NOT A LICENSED ACCOUNTING, TAX, OR FINANCIAL ADVISORY SERVICE. The Service is intended to help you organize and track your business information. It does not provide tax advice, legal advice, or financial recommendations. You are solely responsible for your tax filings, financial decisions, and compliance with applicable laws and regulations. Always consult with qualified professionals (accountants, tax advisors, attorneys) for advice specific to your situation.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, [METRUKS LLC] SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or business opportunities
- Loss of data or data corruption
- Tax penalties, interest, or audit costs
- Errors in reports, calculations, or exports
- Business decisions made based on information in the Service
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.
12. Indemnification
You agree to indemnify, defend, and hold harmless [METRUKS LLC] and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Your Data or content you submit to the Service
13. Changes to Terms
We may modify these Terms at any time. When we make material changes, we will:
- Update the "Effective date" at the top of this page
- Notify you via email or through the Service
Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Minnesota, without regard to conflict of law principles.
Any disputes arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in Minnesota. You consent to the personal jurisdiction of such courts.
15. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and [METRUKS LLC] regarding the Service.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
- Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
- Assignment: You may not assign or transfer your rights under these Terms without our consent. We may assign our rights without restriction.
